TANDEM AI Terms of Service

1. Overview
These Terms of Service (“Terms”) govern your access to and use of the products, services, websites, and SMS-based applications (collectively, the “Services”) operated by Bleeker Street Digital LLC, doing business as TANDEM AI (“TANDEM AI,” “we,” “our,” or “us”).
By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, you may not access or use TANDEM AI.
2. Who We Are
TANDEM AI pairs certified personal trainers with an AI coach that helps users improve their fitness, recovery, sleep, and nutrition using health and contextual data (with explicit consent).
When we say “you” or “your,” we mean the individual user or, if you’re using TANDEM AI on behalf of a business (such as a fitness studio), that organization and its authorized representatives.
3. Eligibility
You must be 18 years or older and capable of entering into a binding contract to use TANDEM AI.
If you are using TANDEM AI on behalf of an organization, you represent that you have the authority to bind that entity and that it agrees to these Terms.
4. Services Provided
TANDEM AI provides:
Personalized training, recovery, and nutrition plans based on your inputs and connected data (e.g., HealthKit, wearables, or calendar).
Real-time adjustments, motivational messages, and readiness-based recommendations.
A platform for human trainers and studios to manage clients, track progress, and communicate.
TANDEM AI is not a medical service and does not provide medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider before starting or changing any fitness or nutrition regimen.
5. Account Registration
To use certain features, you must create an account. You agree to:
Provide accurate and complete information during registration.
Keep your login credentials secure.
Notify us immediately of unauthorized use or suspected security breaches.
You are responsible for all activity under your account.
6. Payments and Subscriptions
Certain features of TANDEM AI require paid subscriptions or studio-level licenses.
Billing: Payments are processed through secure third-party providers (e.g., Stripe).
Renewals: Subscription plans renew automatically unless canceled before the renewal date.
Refunds: Fees are non-refundable unless otherwise required by law or stated in writing.
Separate written agreements may govern studio partnerships.
7. Health and Safety Disclaimer
You acknowledge that:
You are voluntarily participating in physical and wellness activities that involve inherent risk.
You have consulted your physician or qualified professional before beginning any fitness or nutrition program.
TANDEM AI and its partners are not responsible for injuries, health issues, or damages resulting from use of the Services.
8. User Conduct
You agree not to:
Use the Services for unlawful, abusive, or fraudulent purposes.
Misrepresent your identity or provide false information.
Attempt to gain unauthorized access to systems or data.
Copy, distribute, or reverse-engineer TANDEM AI’s software or content.
Upload or transmit content that is defamatory, obscene, or infringes intellectual property rights.
We reserve the right to suspend or terminate accounts that violate these Terms or pose risk to the platform or other users.
9. Intellectual Property
All technology, software, models, designs, text, and trademarks within the Services are owned by or licensed to Bleeker Street Digital LLC d/b/a TANDEM AI and protected by intellectual property laws.
You are granted a limited, revocable, non-exclusive license to use TANDEM AI for personal or authorized business purposes.
You may not copy, modify, distribute, or create derivative works without our written consent.
10. Data and Privacy
Your use of TANDEM AI is subject to our Privacy Policy.
By using the Services, you consent to the collection and processing of your data as described therein, including transfers to the United States or other jurisdictions where we operate.
You remain the owner of your personal data. TANDEM AI acts as a processor when providing AI-assisted coaching or analytics services.
11. SMS and Communication Consent
TANDEM AI is an SMS-first platform. By providing your phone number, you consent to receive text messages, notifications, and updates related to your account, training, and progress.
Message and data rates may apply. You can opt out at any time by replying STOP or adjusting your preferences.
12. Studio and Trainer Accounts
Studios using TANDEM AI are responsible for:
Collecting and sharing member data lawfully and transparently.
Managing access and permissions for staff.
TANDEM AI acts as a data processor on behalf of studios under a Data Processing Addendum (DPA) available upon request.
13. Termination
You may stop using TANDEM AI and close your account at any time.
We may suspend or terminate your account (with notice when feasible) if:
You violate these Terms,
Continued service would create legal or operational risk, or
We are required to do so by law.
Upon termination, your access to the Services ceases, but you may request a data export or deletion in accordance with our Privacy Policy.
14. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, express or implied.
We make no guarantees about specific results, outcomes, or uninterrupted service.
To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the maximum extent permitted by law:
TANDEM AI and its affiliates shall not be liable for indirect, incidental, or consequential damages, including lost profits or data.
Our total aggregate liability for all claims shall not exceed the greater of (a) $100 or (b) the total amount you paid to TANDEM AI in the preceding twelve months.
Certain jurisdictions do not allow some limitations, so only the minimum permitted by law will apply.
16. Indemnification
You agree to indemnify and hold harmless Bleeker Street Digital LLC d/b/a TANDEM AI, its officers, employees, and partners from any claims, damages, losses, or expenses (including attorney’s fees) arising from your use of the Services or violation of these Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New Jersey, excluding conflict-of-law principles.
Any dispute will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA) in Middlesex County, NJ, unless otherwise required by law.
You waive the right to jury trials and class actions.
18. Modifications
We may update these Terms periodically. Material changes will be communicated via email, or in-app notice.
Your continued use of TANDEM AI after changes become effective constitutes acceptance of the revised Terms.

20. Entire Agreement
These Terms, together with our Privacy Policy and any applicable studio agreements, constitute the entire agreement between you and TANDEM AI and supersede prior understandings or communications.
